STANDARD TERMS AND CONDITIONS
These Standard Terms and Conditions are a part of that certain Armada Membership Agreement to which
it is attached (collectively, the “Agreement”).
PAYMENT TERMS:
The Membership Fee, as set forth in the Agreement, shall be due according to the payment schedule noted in the Agreement. All payments shall be made by ACH payment, or via credit card payment. In the event of late payment, interest in the amount of ten percent (10%) per annum shall also be due. Except as specifically set forth herein, the Fee is nonrefundable and non-cancelable.
Notwithstanding the foregoing, in the event of non-payment or late payment, The Armada reserves the right to revoke this Agreement
and/or prevent Member’s participation in any events held and/or presented by The Armada (“Armada Events”).
TERMINATION; SURVIVAL:
Member hereby acknowledges and agrees that its Membership will continue indefinitely until terminated in accordance with this Agreement. At the end of the first year of the Member’s Membership, the Membership will automatically renew for successive one (1) year periods (each a “Renewal Commencement Date”), at your existing Membership Fee for your Membership tier; provided, however,
The Armada reserves the right to modify the Membership Fee at its discretion by providing the undersigned Member with written notice setting forth the modified Membership Fee, which shall be due
on the following Renewal Commencement Date. The undersigned Member hereby agrees that it will be subject to this automatic renewal feature unless the Member notifies The Armada, in writing, at least thirty (30) days prior to the Renewal Commencement Date, that it wishes to cancel its Membership. Upon cancellation, the Member may continue to use its Membership until the end of the then-current Membership Term; and the Member’s Membership will not be renewed after your then-current Membership Term expires. However, Member will not be eligible for a prorated refund of any portion of the Membership Fees paid for the then-current Membership Term.
CONFIDENTIALITY:
The Armada places great importance on creating safe spaces through the confidentiality of its Members and the information they share as part of their membership. Except as otherwise stated in the Agreement, Member and The Armada agree to maintain the terms of the Agreement including all Exhibits thereto (collectively, the “Confidential Information”) in confidence and to not use or disclose (or authorize others to use or disclose) any Confidential Information to third parties, other than to such party’s officers, employees, attorneys, accountants, regulators, and potential investors, or as may be required by law or court order). The undersigned Member hereby agrees that it will keep all non-public information concerning The Armada, its personnel, and other members, strictly confidential.
WAIVER:
The undersigned Member hereby represents that it understands that there are risks related to the Membership, Services, and Events, agrees that any participation in the foregoing is voluntary and done so at Member’s own free will. Further, Member represents and warrants that it is aware that participation in the events involve risk, including but not limited to, travel, physical activity, locales where public health and safety may be at risk, or activities that involve risk that Member creates for others or others may create for Member. Member represents and warrants that it has and will continue to consult with its personal doctors, physicians, and medical providers with respect to any all any activities, Services, and Events related to the Membership and The Armada, and Member shall promptly notify The Armada of any health conditions or other issues.
In consideration of being allowed to participate in The Armada (including its Services and Events), Member (including any person acting on behalf of Member) hereby agrees that it will not hold The
Armada, (including its personnel, officers, directors, agents, representatives, or employees, and/or any other providers of services related to The Armada) responsible in any way for any injury, death, loss, damage or expense of any kind that may arise as a result of my participation in The Armada, its Services or Events. In the event that Member desires to bring a guest to any Events or to participate in any
Services offered by The Armada, the Member must make such request to The Armada, in writing, at least ten (10) days prior to the date of any such Event or Services, and the Guest must sign a waiver consistent with the foregoing. Further, The Armada has sole and absolute discretion to in its decision to allow any Member to bring a guest.
Member hereby acknowledges and agrees that The Armada may have photographers and videographers present at certain Events and Services, and Member’s image and likeness may be captured in such
photographs or videos. Accordingly, Member hereby grants to The Armada a royalty-free, non-exclusive, transferrable, license to use Member’s name, image, and likeness (as captured at any Events or Services) in any media, marketing, and the like, for the benefit of The Armada.
I, the undersigned Member, hereby acknowledge and agree that by participating in this environment and
experience, I am consenting to the following:
● I understand that this environment and experience is intended to be a space of acceptance, respect, openness and understanding.
● I understand that this environment and experience shall not be utilized for extractive activity or activity that is contrary to the spirit of the Membership.
● I understand that this experience is intended to be intimate, and playful to allow and encourage others to be free and expressed without judgment.
● I understand that I may need to take responsibility for my own wellbeing before and during the program, which may include nutritional needs, health concerns, etc.
● I recognized that safety and security are of the utmost importance and I must adhere to the guidelines and instructions provided by the facilitators.
● I understand that The Armada and its personnel may capture photographs and/or video of the Events and Services, and I hereby agree that The Armada may use my name, image, and likeness in connection with the foregoing.
MEMBERSHIP INFORMATION:
By becoming a Member, you agree that The Armada can store the personal information you provide for use in connection with your Membership. If your contact or payment details change, please let us know at your earliest convenience.
GUESTS:
Members may be permitted to bring a pre-approved guest with them to certain events, as permitted by The Armada. The Armada reserves the right, at its sole discretion, to allow, restrict, and/or limit guests
during select times. The Armada strives for an inclusive community and except as otherwise noted in this Agreement. The names and any other information requested by The Armada with respect to any
potential guests must be submitted to The Armada at least three (3) days prior to the date of the Event or Services, and The Armada must approve such guest in writing before they will be permitted to join any Event or Services, and such guest must sign a waiver to The Armada’s satisfaction. The Armada reserves the right to limit or reject any person from attending any Events or Services, as determined in The Armada’s sole and absolute discretion.

Armada Membership Agreement
This Armada Membership Agreement (“The Agreement”) is made effective as of date accepted below, by and between The Armada of Love (“The Armada”) and the reader of this document.
This Agreement governs your membership with The Armada (the “Membership”) along with any other services offered by us during your Membership (the “Services”).
Armada Membership Benefits:
- One (1) Membership to The Armada, its Services, and Events (as discussed below), commencing upon the Effective Date and continuing until terminated pursuant to the terms of
this Agreement (the “Term”)
- Inclusion in all Armada programming.
-Invitation to The Armada Experiential Dinners.
-Access to The Armada Membership Directory.
Membership Dues:
Member hereby agrees to pay its annual Membership fee in the following amount [$4,444.00] (the “Membership Fee”), which shall be due concurrently with the Armada’s acceptance of the Member’s
Agreement.
For the avoidance of doubt, The Armada has sole and absolute discretion in determining whether to accept a prospective Member for Membership.
Following the initial Membership Fee for the first year of the Membership hereunder, the Member will be responsible for the timely payment of its Membership Fees on an annual basis for the duration of the Term.
Fees may be paid via the following methods:
- Credit Card
- Bank Wire Transfer (ACH)
Failure to Pay Membership Fee:
*Failure to pay the Membership Fee within thirty (30) days of the annual anniversary of the Effective Date (or other payment due date if a payment schedule was agreed to in writing by the Armada) will result in a Member’s Membership being terminated.
Nominating New Members:
Members are encouraged to nominate new applicants to join The Armada. All membership decisions are at the sole and absolute discretion of The Armada.
Standard Terms and Conditions:
Members must read and sign the attached Standard Terms and Conditions, which are incorporated herein by this reference. Members agree that they shall read, understand, familiarize themselves with, and abide by the Standard Terms and Conditions.
Cancellation Policy:
Member hereby acknowledges and agrees that its Membership will continue indefinitely until terminated in accordance with this Agreement. Member hereby acknowledges that the Membership is non-transferrable and all Membership Fees are non-refundable.
Force Majeure:
The Armada shall not be responsible for any failure to fulfill its obligations hereunder due to causes beyond its reasonable control, including without limitation acts or omissions of government or military authority, acts of God, shortages of materials, transportation delays, fires, floods, diseases, viral outbreak, labor disturbances, riots, wars, or the like (each an “Event of Force Majeure”). Upon the existence of an Event of Force Majeure, The Armada will make reasonable commercial efforts to remedy the matter to its
reasonable abilities. Notwithstanding any term or provision to the contrary, Member shall not be entitled to a refund upon an Event of Force Majeure, and the remedy to the Member shall be at the sole discretion of The Armada.
Violations of Membership Policies:
From time to time, the Armada may enact certain policies with respect to its Services and Memberships, which shall be distributed to its Members. The undersigned Member hereby agrees to abide by any such policies, and shall promptly notify the Armada in writing if they are unwilling or unable to do so. The undersigned Member hereby acknowledges and agrees that its Membership can be terminated for ethical and behavioral reasons, for a breach of this Agreement, or the Standard Terms and Conditions, or policies
of The Armada, or if the Member fails to positively contribute to The Armada. The Armada’s Membership committee maintains the authority to request a Member’s resignation, decide to withhold an invitation to renew Membership or enforce a suspension of a Member from The Armada.
The undersigned Member hereby acknowledges and agrees that The Armada has the sole and absolute discretion with respect to the interpretation of this Agreement (including the Standard Terms and Conditions, as well as any policies of the Armada), and may suspend or terminate the Member’s Membership pursuant to the Terms of this Agreement.
Thank you for your understanding and cooperation as this enables The Armada to operate in the most efficient way possible and in turn allows us to better serve you and the community.
